PAYDA Terms and Conditions of Use

TERMS AND CONDITIONS OF USE

PAYDA PHILIPPINES

Effective Date: October 15, 2026
Last Updated: October 15, 2026

These Terms and Conditions of Use (“Terms”) govern the registration, account verification, funding, use of PAYDA Purchase Balance, authorized conversion to YAHOYA Points, refunds, and other related services provided through PAYDA.

PAYDA and YAHOYA PH are operated by Bentix Global Solutions Inc. (“Company,” “we,” “us,” or “our”).

PAYDA provides a platform that allows registered Members to add funds to their PAYDA Purchase Balance and convert eligible balances into YAHOYA Points for purchasing digital gift vouchers and related products through YAHOYA PH.

PAYDA uses Netbank's virtual collection account services to facilitate funding transactions. YAHOYA PH handles digital gift voucher purchases and coordinates voucher issuance through its designated providers, including Giftaway.

By registering for or using PAYDA Services, you (“Member,” “User,” or “you”) agree to comply with these Terms and the applicable fees, transaction limits, and service conditions disclosed before each transaction.

Your personal information will be processed in accordance with the PAYDA Privacy Policy and applicable Philippine data protection laws.

PAYDA is not a bank. Registration with PAYDA does not automatically establish a personal bank account with Netbank or any other financial institution.

ARTICLE 1 — PURPOSE AND SCOPE

1.1 These Terms establish the rights, obligations, responsibilities, and limitations applicable to PAYDA and its Members in connection with the use of PAYDA Services.

1.2 PAYDA may provide technology, application, user-interface, transaction-initiation, customer-support, notification, and related platform services.

1.3 Any separately offered financial products and services accessible through PAYDA require identification of the duly authorized financial institution or payment service provider.

1.4 The specific provider and regulatory status applicable to a particular service shall be disclosed through the PAYDA application, product terms, account-opening process, transaction screen, or other appropriate documentation.

1.5 These Terms shall be interpreted consistently with applicable Philippine laws, regulations, BSP issuances, and lawful requirements of competent government authorities.

ARTICLE 2 — DEFINITIONS

2.1 “PAYDA Account” means the Member's registered account for accessing PAYDA Services. It is not, merely by registration, a bank account.

2.2 “PAYDA Application” means PAYDA's mobile application, website and related digital interfaces.

2.3 “PAYDA Purchase Balance” means funded value recorded in a Member's PAYDA Account after receipt and settlement are confirmed. It may be converted, through the supported process in Article 7A, to YAHOYA Points in the same Member's linked YAHOYA PH account for eligible purchases. It cannot be transferred between Members, remitted to another person, or withdrawn through a general bank-transfer or cash-out facility. Refunds are governed by Article 9.

2.4 “Available Balance” means PAYDA Purchase Balance available for conversion after pending conversions, refund requests, reservations and lawful holds have been taken into account.

2.5 “Reserved Amount” means value temporarily unavailable while a conversion, purchase or refund is processed or reconciled. A reservation or provisional debit alone does not establish completed conversion, voucher issuance or refund payment.

2.6 “Member” means an individual or legal entity whose registration has been accepted for the relevant Service.

2.7 “Merchant” means the business identified as supplying the relevant goods or services or accepting the issued voucher for redemption.

2.8 “Voucher Provider” means a merchant, distributor, aggregator, issuer or processor that supplies, generates, activates, delivers or verifies an eGift.

2.9 “eGift” or “Digital Voucher” means an electronic gift certificate, gift card, voucher code, QR-based voucher or similar product redeemable under its disclosed merchant and product terms.

2.10 “Funding” means adding PAYDA Purchase Balance through an authorized funding channel after successful receipt and confirmation. A legacy “cash-in” label refers to this funding process.

2.11 “Refund” means an eligible return of unused Purchase Balance or payment for a cancelled, failed or otherwise refundable transaction, following verification and review. It is not a facility for transferring value to another person.

2.12 “Transaction” includes funding, point conversion, reservation, purchase, voucher issuance, redemption record, refund, reversal or adjustment within the supported PAYDA–YAHOYA process.

2.13 “Access Credentials” means passwords, PINs, OTPs, biometric authentication, device credentials and other security credentials used to access or authorize Services.

2.14 “Regulated Financial Institution” means a bank or other financial institution authorized or supervised under applicable Philippine law for the relevant service.

2.15 “Personal Information” has the meaning given under Republic Act No. 10173, the Data Privacy Act of 2012.

2.16 “Financial Consumer” means any Member who registers for, accesses, or uses the PAYDA or YAHOYA platforms for funding, point conversion, or digital voucher acquisition under these Terms, enjoying all applicable protections under Republic Act No. 11765 and its implementing regulations.

2.17 “Business Day” means a day on which the relevant providers and banking systems operate for normal business, excluding Philippine public holidays and weekends unless otherwise disclosed.

2.18 Legacy balance labels. References to “PAYDA Points,” “Wallet Credits” or “wallet balance” in an interface or record mean PAYDA Purchase Balance to the extent they represent funded purchase value. Promotional benefits, if offered, must be separately identified with their own disclosed conditions; funded value must not be reclassified as a promotional benefit to remove refund rights.

2.19 “YAHOYA PH” or “YAHOYA” means the connected eGift platform operated by Bentix Global Solutions Inc., the same Philippine company that operates PAYDA, through which the Member requests conversion, receives YAHOYA Points and purchases eGifts. “YAHOYA Points” means the value recorded there after confirmed conversion, distinct from remaining PAYDA Purchase Balance. Promotional points, if any, shall be separately identified.

2.20 “VCA” means the unique virtual collection account number generated for a funding request using the assigned Netbank partner alias, with an exact payment amount and validity period. “Giftaway” means the voucher provider receiving YAHOYA purchase requests and issuing the voucher and redemption URL.

ARTICLE 3 — PAYDA'S ROLE AND THIRD-PARTY PROVIDERS

3.1 PAYDA handles registration, KYC, funding, PAYDA Purchase Balance records, conversion authorization, reservation or debit, refund review and customer assistance. YAHOYA PH handles YAHOYA Points, eGift selection, purchase pricing and deduction, submission to Giftaway, and voucher storage and display. Both platforms are operated by Bentix Global Solutions Inc. as connected services. PAYDA and YAHOYA maintain distinct balance and transaction records for their respective functions; this operational separation does not make YAHOYA a separately operated company. Applicable YAHOYA product terms shall be made available before linking, conversion or purchase. Bentix remains responsible for its own services, acts and omissions across both platforms.

3.2 Netbank provides the VCA collection and settlement channel described in Article 8. Giftaway receives eGift purchase requests from YAHOYA and issues vouchers and redemption URLs. Participating merchants accept redemption under the applicable product conditions. PAYDA and YAHOYA reconcile their respective records and coordinate assistance according to their roles.

3.3 Use of a bank's collection, settlement or online-banking services does not by itself mean that a Member has opened a personal account with that bank or that the bank has issued the Member's Purchase Balance.

3.4 Netbank (A Rural Bank) Inc. or another regulated institution shall be identified as a customer-facing financial product provider only where it actually provides that product. Any such product requires its applicable disclosures, eligibility process and separate terms; these Terms alone do not open or activate it.

3.5 Each provider remains responsible for obligations assigned to it by law. PAYDA remains responsible for its own Services, acts and omissions; outsourcing does not remove responsibilities legally attributable to PAYDA.

ARTICLE 4 — ELIGIBILITY AND ACCOUNT REGISTRATION

4.1 To use PAYDA Services, a person must satisfy PAYDA's eligibility and registration requirements.

4.2 PAYDA may require the Member to provide information necessary for account opening, identity verification, KYC, AML/CFT compliance, fraud prevention, transaction monitoring, security, and provision of the requested Services.

4.3 Information submitted by the Member must be accurate, complete, current, and not misleading.

4.4 PAYDA and relevant service providers may request additional information or documents when reasonably necessary to:

  1. verify identity;
  2. comply with KYC requirements;
  3. comply with AML/CFT requirements;
  4. prevent fraud or unauthorized transactions;
  5. conduct risk assessment;
  6. comply with sanctions or regulatory requirements;
  7. investigate suspicious activity; or
  8. provide or maintain a financial product or service.

4.5 PAYDA may refuse, defer, restrict or terminate an application where permitted by law, including where:

  1. required information is false, incomplete, or misleading;
  2. identity cannot be adequately verified;
  3. the application presents unacceptable fraud, AML/CFT, security, or operational risk;
  4. the account appears to be used for unlawful activity;
  5. the applicant is subject to applicable restrictions or sanctions;
  6. required by a competent authority; or
  7. the applicant fails to satisfy applicable eligibility requirements.

4.6 Registration acceptance shall distinguish:

  1. mandatory acceptance of these Terms;
  2. acknowledgment of the PAYDA Privacy Notice; and

ARTICLE 5 — CUSTOMER IDENTIFICATION AND KYC

5.1 Members must complete PAYDA registration and required KYC verification before requesting funding or converting PAYDA Purchase Balance to YAHOYA Points. PAYDA and relevant providers conduct verification and due diligence in accordance with requirements applicable to the service.

5.2 Verification may include:

  1. government-issued identification;
  2. mobile-number verification;
  3. address verification;
  4. facial or biometric verification;
  5. source-of-funds information;
  6. source-of-income or source-of-wealth information where applicable;
  7. bank-account ownership verification;
  8. business registration information for business users; and
  9. other information reasonably required for compliance.

5.3 PAYDA may share information necessary for verification, funding, account linking, point conversion, reconciliation, voucher processing or refunds with YAHOYA and the relevant provider through authorized and secure channels, on an appropriate lawful basis and as described in the Privacy Notice.

5.4 Processing shall be limited to lawful purposes and proportionate information described in the PAYDA Privacy Notice, including identity and bank-account ownership verification, fraud prevention and applicable compliance obligations. These Terms do not provide blanket consent to unrelated processing.

5.5 Failure to complete required verification may result in the restriction or non-availability of certain PAYDA Services.

ARTICLE 6 — PAYDA SERVICES

Subject to eligibility, verification, disclosed limits and availability, PAYDA provides or facilitates:

  1. account registration and verification;
  2. funding and recording of PAYDA Purchase Balance;
  3. authorized conversion to YAHOYA Points in the Member's linked YAHOYA PH account;
  4. conversion reservations and reconciliation, with YAHOYA handling eGift purchases, Giftaway issuance requests, voucher delivery and redemption support;
  5. transaction history and account notifications;
  6. refund requests, review, approved refund processing and reversals; and
  7. customer assistance and complaint handling.

Availability of a product or funding channel does not enable general-purpose transfers, remittance or cash-out. A voucher QR code is a redemption credential for the identified product, not a general QR-payment facility.

ARTICLE 7 — PAYDA PURCHASE BALANCE

7.1 Funding confirmed under Article 8 is recorded as PAYDA Purchase Balance, also described as funded PAYDA Points or wallet balance, available for supported conversion under Article 7A. Pending or unconfirmed funding is not available for conversion or spending.

7.2 Purchase Balance earns no interest or investment return and must not be marketed, sold or used as an investment, security or speculative asset.

7.3 Members may authorize conversion to their own linked YAHOYA PH account under Article 7A. Apart from that supported conversion, Purchase Balance may not be transferred to another Member or third party, brokered, pledged, sold, remitted or spent outside the supported service. Eligible refunds follow Article 9, subject to mandatory legal rights.

7.4 PAYDA reserves or debits the available amount for an authorized conversion and confirms the conversion to YAHOYA. YAHOYA then credits YAHOYA Points. The conversion and the later eGift purchase are separate transactions. Pending and failed conversions follow Article 7A; eGift orders follow Articles 11, 16 and 16A.

7.5 These Terms impose no expiration period on funded Purchase Balance. Any proposed change must comply with applicable law and Article 31 and must not unlawfully forfeit existing value. Separately identified promotional benefits may have lawful conditions disclosed before acceptance.

7.6 PAYDA shall provide records of funding, conversions, reservations, adjustments and refunds. YAHOYA maintains its point and order records. Verified errors shall be corrected with an explanation where disclosure is legally permitted.

7.7 Account closure or termination does not automatically forfeit eligible unused Purchase Balance. Pending transactions and refunds shall be resolved under Articles 9, 27 and 28, subject to lawful holds.

7.8 “Purchase Balance” describes its intended use, not a determination that it is exempt from e-money, payment-system or other regulation. Any mandatory rights, safeguarding, redemption or other obligations applicable to the actual arrangement prevail over inconsistent restrictions in these Terms.

ARTICLE 7A — PAYDA TO YAHOYA POINT CONVERSION

7A.1 A Member logs into YAHOYA PH and requests conversion from their own linked PAYDA account to their YAHOYA account. PAYDA-to-YAHOYA conversion is free of a conversion fee. Before authorization, the Member shall be shown the source and destination accounts, PAYDA amount to be converted, total PAYDA balance deduction, conversion rate and net YAHOYA Points to be credited. No conversion fee is deducted from the amount converted or added to the balance deduction. The applicable conversion conditions and Fees and Charges Schedule shall be made available before confirmation. These Terms do not establish a fixed or one-to-one conversion rate.

7A.2 YAHOYA sends the authorized request to PAYDA. PAYDA checks available balance, verification, limits and duplicate references, reserves or debits the corresponding amount and confirms the conversion. YAHOYA then credits the corresponding YAHOYA Points. Reserved or debited PAYDA value is unavailable for another conversion, purchase or refund.

7A.3 A PAYDA reservation or debit alone is not proof that YAHOYA Points have been credited. Pending conversions shall be identified as pending while PAYDA and YAHOYA reconcile confirmation and credit records. Members should check status and contact support before repeating an uncertain conversion.

7A.4 If PAYDA has reserved or debited value but YAHOYA has not credited points, PAYDA and YAHOYA shall investigate using the conversion reference. They shall complete the corresponding credit or, after confirming that no usable destination credit exists, release or restore the PAYDA amount unless a lawful hold applies. Duplicate requests or notifications shall not cause duplicate debits, credits or restoration.

7A.5 Completed conversion is separate from an eGift purchase. A Member may request a refund or reconversion of unused eligible YAHOYA Points to their own linked PAYDA account and enter the desired amount, subject to sufficient available eligible points, applicable verification and disclosed limits. Points committed to a pending purchase, already spent or refunded are not available for the same request. The YAHOYA refund fee is calculated as the percentage of the requested refund amount stated in its official Fees and Charges Schedule and is deducted from that amount, rather than added to it. Before confirmation, YAHOYA shall show the requested amount, applicable conversion rate, fee calculation and net PAYDA Points to be credited. The net credit is the requested amount less the disclosed refund fee, converted at the applicable disclosed rate. Submission does not establish completed credit. The corresponding YAHOYA Points shall be reserved or deducted to prevent reuse, and PAYDA credit shall be confirmed and reconciled before the request is treated as completed. Failed or uncertain processing shall be investigated and corrected without duplicate credits or deductions under Articles 11 and 16. A return to PAYDA Points is separate from a bank refund under Article 9. This process does not allow continued use of points already refunded or remove mandatory consumer remedies.

7A.6 PAYDA handles funding and PAYDA debit or reservation inquiries and coordinates conversion discrepancies with YAHOYA. YAHOYA handles destination point credits, orders and voucher inquiries. Members shall receive an appropriate status update and complaint route while the platforms reconcile the case.

ARTICLE 8 — FUNDING / ADDING PURCHASE BALANCE

8.1 After completing required KYC, a Member requests a top-up in PAYDA. The top-up service fee stated in the applicable Fees and Charges Schedule is added to the requested top-up balance. Before the Member proceeds with payment, PAYDA shall display the requested balance credit, service fee and exact total bank payment amount. The requested balance is credited after successful settlement verification; the service fee is paid in addition to that balance. PAYDA generates a unique virtual collection account (VCA) number using its assigned Netbank partner alias, submits the exact total bank payment amount and validity period through the Netbank API, and displays the VCA and payment instructions. Article 14 governs fee disclosures and changes. Members must pay the exact displayed VCA amount rather than calculate a different amount themselves.

8.2 The Member pays the exact displayed VCA payment amount, including any applicable disclosed top-up fee, from an authorized bank account to the displayed VCA within its validity period. Funds are credited to the linked PAYDA/Bentix corporate collection account at Netbank. Netbank sends an incoming-transaction webhook to PAYDA. PAYDA verifies settlement status, amount, reference and duplicate transactions before crediting the Member's PAYDA Purchase Balance. A screenshot, payment instruction, webhook notification alone or pending bank status is not proof of completed credit.

8.3 Members must check funding instructions, references and amounts and use only payment instruments they are legally authorized to use. Third-party funding is permitted only where expressly supported by PAYDA and the provider.

8.4 Funding may be delayed, rejected, held or reversed for incorrect amounts or references, expired VCAs, failed authorization, limits, suspected fraud, compliance review or lawful provider requirements. Members should not repeat an uncertain payment before checking its status. PAYDA shall investigate and reconcile received but unmatched or uncredited funds and arrange appropriate correction or eligible refund after verification. Such funds are not automatically forfeited.

8.5 A VCA is a collection identifier for the funding request and does not by itself open a personal Netbank account for the Member. Funding credits PAYDA Purchase Balance only; conversion in YAHOYA and an eGift purchase each require separate Member authorization.

ARTICLE 9 — REFUND REQUESTS AND REFUND PROCESSING

9.1 Members may request a refund of eligible unused PAYDA Purchase Balance through PAYDA. Amounts already converted to YAHOYA Points are not simultaneously available for a PAYDA refund. Refund or reconversion eligibility for those points must be disclosed under the applicable YAHOYA terms before conversion, subject to mandatory rights. Conversion errors follow Article 7A; purchased products and issued vouchers follow Articles 16 and 16A.

9.2 PAYDA reviews the request, funding and transaction records, available amount, identity and destination account. Members may be asked for proof of funding and bank-account ownership. Submission is not approval or proof of payment.

9.3 A refund to a bank account requires registered and verified bank details for an account held in the Member's name. Members must check the bank, account number and account-holder name before submitting. The refund process may not be used to pay another person.

9.4 Following approval, authorized PAYDA personnel process the refund through online banking or another approved payment channel to the Member's verified account. Where supported by the applicable refund procedure, a refund may instead return through the original funding channel. Mandatory refund rights and payment-provider requirements remain applicable.

9.5 A requested refund amount and any disclosed lawful fee may be reserved or provisionally deducted while the request is pending so that the same value cannot be spent or refunded twice. If a request is rejected or cancelled, the corresponding amount shall be restored after confirming that no refund payment was completed, unless a lawful hold applies.

9.6 PAYDA shall communicate approval, rejection, requests for information and processing status through the application or another appropriate channel. A rejection shall include the reason and review or complaint route where disclosure is lawful. A refund is completed only when payment is confirmed; approval or a pending bank instruction alone is not completion.

9.7 Before a refund request is confirmed, PAYDA shall disclose eligibility, conditions, estimated processing time, the lawful processing fee stated in the applicable Fees and Charges Schedule, the amount the Member will receive, and the total Purchase Balance to be reserved or deducted. For a Member-requested bank refund, the processing fee is added to the requested bank payout when calculating the total PAYDA balance deduction. The Member receives the requested payout in the verified bank account and must have sufficient available balance to cover both payout and fee. This bank-refund calculation is separate from the YAHOYA-to-PAYDA point-refund deduction in Article 7A.5. Verification, bank processing, weekends, holidays or lawful holds may affect timing. PAYDA shall provide updates on material delays and investigate failed or returned payments. Fee disclosures and exceptions follow Article 14.

9.8 PAYDA may refuse duplicate, fraudulent or ineligible requests or temporarily hold amounts committed to pending purchases or disputed transactions, subject to law. No review requirement or fee removes a mandatory right to a refund or remedy. Members may challenge a decision through Article 26.

9.9 A refund is a return of eligible value to the Member, not a general bank-transfer, remittance or on-demand cash-out service.

9.10 Exceptional Nature of Bank Disbursements. A refund processed to a traditional bank account under this Article is strictly restricted to system-wide technical errors, permanent failure of digital voucher issuance, or complete account liquidation upon voluntary account closure under Article 27. This mechanism shall not function as an on-demand withdrawal or cash-out facility. Bentix Global Solutions Inc. reserves the right to reject repetitive or pattern-based refund requests that mimic ordinary banking transfer activities.

ARTICLE 10 — SERVICES OUTSIDE THE CURRENT MODEL

10.1 PAYDA Transfer between Members, Bank Transfer to beneficiaries, International Transfer, remittance and ordinary cash-out are unavailable under these Terms. Legacy labels or records do not authorize use of those services.

10.2 Any future launch requires the necessary legal and operational arrangements and advance disclosure of the actual provider, applicable eligibility, fees, limits and separate product terms. These Terms do not promise a launch date.

10.3 A bank payment made by PAYDA to complete an approved refund under Article 9 does not enable a Member-directed transfer service.

10.4 General-purpose fiat cash-outs, remittance routing, peer-to-peer ledger transfers, and generic retail bank deposits are structurally prohibited on the platform. The systematic return of funds to a verified bank account is handled exclusively as an offline corporate administrative action to dissolve platform obligations under verified error conditions, completely distinct from any user-directed digital fund transfer service.

ARTICLE 11 — ORDER STATUS AND RECONCILIATION

11.1 An order may be pending, issued, failed, cancelled or under review. A reserved amount or provisional deduction does not alone mean that a voucher has been issued.

11.2 Where Giftaway's response is delayed or uncertain, YAHOYA shall verify issuance status before treating the order as failed or submitting a replacement, to prevent duplicate issuance or deduction. PAYDA shall coordinate where a related conversion is affected. Members should check order history and contact support before repeating an uncertain purchase.

11.3 If no valid voucher was issued and failure or cancellation is confirmed, YAHOYA shall release or restore the corresponding YAHOYA Points. If issuance is confirmed, YAHOYA shall finalize the order record and make the voucher available. Correcting a failed order or duplicate deduction is distinct from a voluntary refund and shall not automatically incur a voluntary refund fee. Restoration of YAHOYA Points does not automatically reconvert them to PAYDA Purchase Balance or complete a cash refund; any eligible reconversion or external refund follows the disclosed procedure and mandatory rights.

11.4 PAYDA and YAHOYA shall reconcile conversion references, PAYDA reservations and debits, YAHOYA point credits and deductions, orders and Giftaway provider transactions. Each platform shall provide status information for its part of the process and coordinate unresolved cases. Reconciliation does not remove complaint or remedy rights.

ARTICLE 12 — TRANSACTION AUTHORIZATION

12.1 A Member must use the authentication method designated by PAYDA for transaction authorization.

12.2 A transaction authenticated using the Member's authorized authentication method may be treated as authorized, subject to applicable law and PAYDA's investigation of unauthorized transaction claims.

12.3 Members must not disclose their:

  1. password;
  2. PIN;
  3. OTP;
  4. authentication code;
  5. security token; or
  6. other Access Credentials.

12.4 PAYDA will not request an OTP, password, or PIN through an unsolicited communication.

ARTICLE 13 — SECURITY AND UNAUTHORIZED TRANSACTIONS

13.1 Members must immediately notify PAYDA upon discovering or reasonably suspecting:

  1. an unauthorized transaction;
  2. account compromise;
  3. loss or theft of a registered device;
  4. loss or compromise of a SIM;
  5. unauthorized use of Access Credentials;
  6. phishing or social-engineering activity; or
  7. another security incident.

13.2 PAYDA shall provide an appropriate channel for reporting unauthorized or fraudulent transactions.

13.3 Where an incident also concerns a bank or payment-provider transaction, PAYDA may coordinate with that provider and advise the Member of any additional reporting channel.

13.4 PAYDA and the relevant provider may temporarily restrict affected transactions or account access while investigating suspected unauthorized activity, subject to law.

13.5 The allocation of losses arising from unauthorized transactions shall be determined in accordance with applicable law, BSP regulations, the applicable account agreement, the circumstances of the incident, and the actions or negligence of the parties involved.

13.6 Nothing in these Terms shall automatically make the Member responsible for all unauthorized transactions.

ARTICLE 14 — FEES, CHARGES AND LIMITS

14.1 Fee transparency. PAYDA shall disclose charges for its funding, conversion and refund services; YAHOYA shall disclose charges for its point and eGift services. Before confirmation, the relevant platform shall show the applicable fees, deductions, any separately charged tax, net balance or points credited or refund paid, and total amount payable or deducted. Voucher face value and selling price shall be distinguished. These Terms do not establish a particular fee, tax rate or conversion rate.

14.2 Fees and Charges Schedule. The PAYDA Fees and Charges Schedule is available separately. Each platform shall maintain an official Fees and Charges Schedule for separately charged customer fees, including applicable top-up, conversion and voluntary refund fees, and make it available through its application or official website before the affected transaction. The applicable schedule forms part of the relevant service terms, subject to required notice and acceptance. It shall identify the service, fee amount or rate, calculation basis, whether the charge is added or deducted, and its version and effective date. It shall be updated whenever applicable charges change. YAHOYA's retail margin incorporated into an eGift's selling price does not require a separate percentage entry in the fee schedule; the voucher denomination or redemption value, final selling price, separately imposed customer charges, applicable taxes and total points deduction shall be displayed before purchase confirmation under Article 16A.2. Internal bank or provider costs are not additional customer charges unless expressly passed on and disclosed before confirmation. Applicable legal disclosure requirements remain binding.

14.3 Transaction disclosure. Top-up disclosures shall distinguish the exact payment amount, applicable fee and net PAYDA Purchase Balance credited. Conversion disclosures shall distinguish the total PAYDA debit, conversion rate, applicable fee and net YAHOYA Points credited. Refund disclosures shall distinguish the payout or points returned, applicable fee and total balance deduction. For eGift purchases, YAHOYA shall disclose the voucher denomination or redemption value, final selling price, any separately imposed service charges, applicable taxes and total YAHOYA Points to be deducted before confirmation. No undisclosed additional customer charge shall be imposed.

14.4 Changes to fees. PAYDA and YAHOYA may revise charges for their respective services subject to the applicable agreement and law. A change shall have an announced effective date and be communicated to affected Members within any required advance-notice period. Article 31 applies to PAYDA changes; the applicable YAHOYA terms govern YAHOYA changes without removing mandatory rights. Any required acceptance or consent shall be obtained before the change applies.

14.5 Confirmed transactions. Revised fees apply prospectively only after their effective date and applicable notice or acceptance requirements have been satisfied. The fee, rate and calculation disclosed and accepted when a transaction is confirmed shall remain applicable to that transaction, including while settlement, conversion, issuance or refund payment is pending, except where a different treatment is required by law or a verified error must be corrected lawfully. A later configuration change shall not by itself reprice an existing confirmed transaction.

14.6 Fee records. The relevant platform shall retain the applicable schedule version, transaction disclosure and confirmed fee or rate with the transaction record. Fee changes shall have an audit record of the previous and revised values, authorized administrator, modification time, effective date and required notification or acceptance records. Superseded schedules shall remain available for resolving questions about earlier transactions.

14.7 Refunds and corrections. Any lawful fee for a voluntary refund or reconversion shall be disclosed before confirmation, including its calculation basis and the net value returned. Such fees shall not automatically apply to failed transactions, duplicate charges or corrections of platform or provider errors. No fee or provider restriction may override a mandatory consumer right or remedy. A return of points does not itself complete reconversion or a bank refund; Articles 7A, 9, 11 and 16 govern those separate events. No fee for an unavailable transfer, remittance or ordinary cash-out service is authorized.

14.8 Limits. Funding, balance, conversion, purchase, refund and frequency limits may depend on verification, product conditions, provider rules, risk controls and applicable law. Relevant limits shall be made available before the affected transaction. Changes remain subject to applicable notice requirements and shall not unlawfully remove an existing right or remedy.

ARTICLE 15 — TRANSACTION HISTORY AND RECORDS

15.1 PAYDA shall make transaction information available through the PAYDA application or another appropriate channel.

15.2 PAYDA maintains funding, VCA reference, conversion, reservation, debit and refund records. YAHOYA maintains conversion credits, point balances, purchase deductions, orders and vouchers. Netbank and Giftaway maintain their respective settlement and issuance records. PAYDA and YAHOYA reconcile these records, investigate discrepancies and correct verified errors without duplicate credit, issuance or refund.

15.3 Members should regularly review transaction records and promptly report suspected errors or unauthorized transactions.

15.4 Transaction and due-diligence records may be retained for periods required by applicable law, BSP requirements, AML/CFT requirements, accounting requirements, tax requirements, dispute-resolution requirements, or legitimate legal purposes.

ARTICLE 16 — REFUNDS, REVERSALS AND FAILED TRANSACTIONS

16.1 A transaction may be refunded, reversed, adjusted, or corrected where:

  1. the transaction failed;
  2. the transaction was duplicated;
  3. an unauthorized transaction is established;
  4. the receiving institution rejected the transaction;
  5. a technical error occurred;
  6. a payment was incorrectly processed;
  7. reversal is required by law or regulation; or
  8. another legally valid basis exists.

16.2 A failed eGift order with no valid issuance shall have its YAHOYA Points reservation released or deduction restored after verification by YAHOYA. A failed conversion follows Article 7A. Restoration of points, reconversion to PAYDA Purchase Balance and external refund payment are separate events and must not result in duplicate recovery.

16.3 Approved external refunds of eligible PAYDA Purchase Balance follow Article 9. YAHOYA point and eGift refunds follow the disclosed YAHOYA procedure and applicable product conditions, with PAYDA coordination where required. No automatic cash refund or reconversion is promised by a point restoration; mandatory consumer remedies remain applicable.

16.4 The applicable refund procedure, eligibility, destination balance or payment channel, processing period, fee calculation, net amount returned and total amount deducted shall be disclosed before confirmation. A voluntary Member-requested refund or reconversion is distinct from correcting a failed transaction, duplicate charge, unauthorized transaction established after investigation, or platform or provider error. A voluntary refund fee shall not automatically apply to those corrections; no fee may reduce a mandatory remedy or be imposed where prohibited by law. The applicable platform shall explain and correct any related fee charged in error.

16.5 PAYDA cannot guarantee that every completed transaction can be cancelled.

ARTICLE 16A — eGIFT AND DIGITAL VOUCHER SERVICES

16A.1 Members select eligible eGifts and confirm purchases in YAHOYA PH. YAHOYA shall disclose Giftaway and the relevant merchant, selling price, voucher denomination, redemption channels, restrictions and lawful validity conditions before purchase. Expiry restrictions shall not apply where prohibited by the Gift Check Act of 2017 or other applicable law.

16A.2 Before purchase confirmation, YAHOYA shall clearly display the voucher denomination or redemption value, final selling price, any separately imposed fees and applicable taxes, and total YAHOYA Points to be deducted. The selling price may differ from the voucher's redemption value. Upon purchase confirmation, YAHOYA shall verify the Member's available YAHOYA Points and deduct the displayed total selling price. A deduction or pending order alone does not establish successful voucher issuance. PAYDA shall not be debited again for the same eGift purchase after the corresponding conversion has completed. Article 14 governs fee disclosure and changes.

16A.3 YAHOYA submits the purchase request to the Giftaway API. Giftaway issues the voucher and redemption URL. YAHOYA saves the voucher and displays or delivers its redemption URL and applicable credentials to the Member. The Member redeems the voucher at the identified participating merchant under the product conditions.

16A.4 Where issuance fails and no valid eGift was issued, YAHOYA shall release or restore the corresponding YAHOYA Points after verification. A delayed, incomplete or uncertain response remains pending while YAHOYA verifies Giftaway status and reconciles records before retrying, reversing or restoring points, to prevent duplicate issuance, deduction or refund.

16A.5 An issued eGift may be redeemed only through the merchant, channel, location, website, application, or facility identified for that eGift. A voucher is treated as redeemed when redemption is confirmed by the merchant, Voucher Provider, or applicable processing system.

16A.6 Members are responsible for safeguarding voucher codes, QR codes, PINs, barcodes, redemption links, and similar credentials. A voucher validly redeemed using an issued credential may be non-replaceable and non-refundable, except where required by law or where PAYDA or the applicable provider is legally responsible.

16A.7 Cancellation, replacement, reversal, and refund eligibility may depend on whether the eGift has been issued, activated, delivered, redeemed, expired, or otherwise consumed. Provider restrictions do not limit any non-waivable consumer right or remedy under Philippine law.

16A.8 The applicable YAHOYA, Giftaway and merchant product terms shall be made available before purchase. PAYDA remains responsible for its funding, conversion and other acts and omissions; YAHOYA handles purchase, point deduction and voucher-delivery assistance. Members may contact PAYDA about funding or conversion and YAHOYA about orders or vouchers. PAYDA shall coordinate related complaints without requiring the Member to resolve internal reconciliation or removing responsibility legally attributable to PAYDA.

16A.9 Settlement or reconciliation between PAYDA, YAHOYA, Giftaway and other providers does not by itself invalidate a Member's completed purchase or redemption. Any correction or reversal must have a lawful basis, respect consumer rights and include notice and an appropriate remedy where required.

ARTICLE 17 — AML/CFT AND TRANSACTION MONITORING

17.1 PAYDA and its applicable regulated financial institution partners shall maintain controls designed to comply with Philippine AML/CFT requirements.

17.2 PAYDA may conduct transaction monitoring to identify unusual, suspicious, fraudulent, or potentially unlawful activities.

17.3 Transaction monitoring may consider:

  1. transaction amount;
  2. transaction frequency;
  3. transaction velocity;
  4. funding, purchase and refund activity;
  5. recipient and sender relationships;
  6. geographic information;
  7. account behavior;
  8. historical activity;
  9. device and technical indicators; and
  10. other risk indicators permitted by law.

17.4 PAYDA may request information concerning:

  1. source of funds;
  2. source of income;
  3. purpose of transaction;
  4. beneficiary;
  5. business activity;
  6. employment; and
  7. other information reasonably required for AML/CFT compliance.

17.5 PAYDA may delay, reject, restrict, suspend, or terminate transactions where required or permitted by applicable law, regulation, lawful government order, sanctions requirements, or risk-management procedures.

17.6 PAYDA and the relevant service provider may report information or transactions to the Anti-Money Laundering Council (“AMLC”), BSP, law-enforcement agencies, or other competent authorities where required or permitted by law.

17.7 PAYDA may be unable to disclose certain information concerning a transaction review or regulatory report where disclosure is prohibited by law.

ARTICLE 18 — DATA PRIVACY

18.1 PAYDA shall process personal information in accordance with Republic Act No. 10173, otherwise known as the Data Privacy Act of 2012, its implementing rules and regulations, and applicable National Privacy Commission issuances.

18.2 Personal information may be processed for:

  1. account registration;
  2. identity verification;
  3. KYC;
  4. transaction processing;
  5. fraud prevention;
  6. AML/CFT compliance;
  7. cybersecurity;
  8. customer assistance;
  9. dispute resolution;
  10. regulatory reporting;
  11. service operation; and
  12. other lawful purposes described in the PAYDA Privacy Policy.

18.3 Only information necessary for the relevant service may be shared, on an appropriate lawful basis, with the bank, payment provider, verification provider, Voucher Provider or participating merchant for:

  1. registration or verification for the relevant service;
  2. KYC;
  3. transaction processing;
  4. funding and refund processing;
  5. AML/CFT compliance;
  6. fraud monitoring;
  7. regulatory reporting; and
  8. other lawful purposes.

18.4 Necessary account-linking, conversion and transaction information may be shared with YAHOYA to authorize conversion, credit points, reconcile records and resolve disputes. Necessary voucher information may be shared with Giftaway and participating merchants for issuance, delivery, validation, redemption, support or refund. Sharing shall use an appropriate lawful basis and proportionate information. The Privacy Notice shall explain purposes, lawful bases, recipients, retention and data-subject rights.

18.5 Members have the rights provided by applicable Philippine data-protection laws, subject to lawful limitations.

18.6 The PAYDA Privacy Policy provides additional information regarding:

  1. personal information collected;
  2. purposes of processing;
  3. recipients;
  4. retention;
  5. security measures;
  6. data-subject rights; and
  7. contact information for privacy concerns.

18.7 User-Initiated Inter-Platform Linkage. The transmission of data between the PAYDA ledger database and the YAHOYA PH interface requires an explicit, active, user-initiated confirmation. This connection is established solely when a user inputs an authorized 6-digit SMS verification token on the dedicated multi-platform linking screen. Sharing is strictly bounded by the data minimization protocol outlined in the platform’s active privacy disclosures.

18.8 Independent Data Boundary Safeguards. Highly sensitive operational credentials, including user account passwords, encryption tokens, bank-specific API access parameters, and official government-issued identification imagery, are strictly sandboxed within the primary registration silo and shall never be transmitted, shared, or mirrored across the broader YAHOYA voucher marketplace system.

ARTICLE 19 — CONSUMER PROTECTION

19.1 PAYDA and applicable regulated financial institution partners shall endeavor to provide fair, transparent, secure, and accessible financial services in accordance with applicable Philippine laws and regulations.

19.2 Members shall receive clear information regarding material terms, fees, risks, transaction conditions, and applicable limitations.

19.3 PAYDA shall maintain appropriate consumer assistance and complaint-handling mechanisms.

19.4 Nothing in these Terms shall waive or limit a right granted to a financial consumer under Philippine law.

19.5 Members retain any direct rights and remedies against the merchant, Voucher Provider or relevant financial institution under applicable law and the disclosed product terms.

ARTICLE 20 — MEMBER RESPONSIBILITIES

Members shall:

  1. provide accurate and complete information;
  2. maintain current account information;
  3. use only accounts and payment methods they are authorized to use;
  4. protect their Access Credentials;
  5. review transaction details before confirmation;
  6. promptly report unauthorized transactions;
  7. comply with applicable laws;
  8. cooperate with KYC and AML/CFT requirements;
  9. use PAYDA only for lawful purposes;
  10. maintain control of registered devices and SIM cards;
  11. promptly update lost, stolen, or compromised credentials; and
  12. comply with these Terms and applicable product-specific terms.

ARTICLE 21 — PROHIBITED ACTIVITIES

21.1 Members must not sell, auction, broker, commercially trade, pledge or establish a secondary market for PAYDA Purchase Balance, eGifts or voucher credentials without express authorization consistent with law. This does not prevent an eligible refund or reversal under these Terms or lawful voucher gifting expressly supported by the product terms. It does not permit Member-to-Member Purchase Balance transfers.

21.2 Members shall not use PAYDA Services to:

  1. commit fraud;
  2. launder money;
  3. finance terrorism;
  4. facilitate scams;
  5. use another person's identity;
  6. use stolen or unauthorized payment instruments;
  7. circumvent transaction limits;
  8. manipulate transaction processing;
  9. create fraudulent accounts;
  10. interfere with PAYDA or provider systems;
  11. introduce malicious software;
  12. attempt unauthorized access;
  13. conduct transactions involving prohibited goods or services;
  14. conduct unlawful gambling or other prohibited activities;
  15. impersonate another person or organization;
  16. provide false information during KYC;
  17. use PAYDA to evade AML/CFT controls; or
  18. engage in any activity prohibited by Philippine law.

ARTICLE 22 — ACCOUNT AND TRANSACTION RESTRICTIONS

PAYDA and/or the applicable regulated financial institution may restrict, suspend, delay, reject, or terminate an account or transaction where reasonably necessary to:

  1. protect the Member;
  2. prevent fraud;
  3. prevent unauthorized transactions;
  4. investigate suspicious activity;
  5. comply with AML/CFT requirements;
  6. comply with sanctions requirements;
  7. comply with a court order or government directive;
  8. comply with BSP requirements;
  9. address cybersecurity risks;
  10. address technical or operational risks;
  11. enforce these Terms; or
  12. protect the integrity of the financial system.

Where permitted by law, the Member shall be informed of the applicable restriction and available remedies.

ARTICLE 23 — THIRD-PARTY SERVICES

23.1 PAYDA Services may depend upon:

  1. Voucher Providers and participating merchants;
  2. banks;
  3. payment service providers;
  4. payment systems;
  5. telecommunications providers;
  6. KYC providers;
  7. fraud-prevention providers;
  8. cloud and technology providers; and
  9. other authorized service providers.

23.2 Third-party services may have their own terms, requirements, limits, and service availability.

23.3 Where a third-party financial institution provides the relevant financial product, the applicable financial institution's terms shall apply to that product.

23.4 PAYDA shall remain responsible for matters legally attributable to PAYDA.

ARTICLE 24 — SERVICE AVAILABILITY AND INTERRUPTIONS

24.1 PAYDA shall use reasonable efforts to provide reliable and secure Services.

24.2 Services may be temporarily unavailable due to:

  1. scheduled maintenance;
  2. emergency maintenance;
  3. system upgrades;
  4. Voucher Provider system maintenance;
  5. banking-system outages;
  6. payment-rail outages;
  7. telecommunications failures;
  8. cybersecurity incidents;
  9. natural disasters;
  10. power failures;
  11. government or regulatory directives; or
  12. other circumstances beyond PAYDA's reasonable control.

24.3 PAYDA shall provide advance notice of scheduled service interruptions where reasonably practicable.

24.4 PAYDA shall use reasonable efforts to restore Services as soon as practicable.

ARTICLE 25 — ELECTRONIC COMMUNICATIONS

25.1 PAYDA may communicate with Members electronically through:

  1. the PAYDA application;
  2. registered email;
  3. SMS;
  4. push notifications;
  5. telephone; or
  6. other communication channels provided by the Member.

25.2 Electronic communications may include:

  1. transaction notifications;
  2. security alerts;
  3. account notices;
  4. service updates;
  5. regulatory notices;
  6. changes to fees or Terms; and
  7. promotional communications where permitted and appropriately consented to.

25.3 Members are responsible for maintaining current contact information.

ARTICLE 26 — CUSTOMER COMPLAINTS AND ASSISTANCE

26.3 PAYDA shall acknowledge, investigate, and handle complaints in accordance with applicable law, regulatory requirements, and internal procedures.

26.4 PAYDA shall coordinate with the relevant Voucher Provider, merchant, bank or payment provider where necessary to investigate and resolve a complaint.

26.5 Members may also contact the relevant provider through its disclosed support channels. Coordination or referral does not remove PAYDA obligations or prevent the Member from pursuing a remedy.

26.6 Where a complaint remains unresolved after completion of the applicable complaint-handling process, the Member may seek assistance from the appropriate regulatory authority, including the BSP where applicable.

ARTICLE 27 — ACCOUNT CLOSURE

27.1 Members may request closure of their PAYDA Account subject to applicable requirements.

27.2 Before closure, Members may be required to:

  1. complete pending transactions;
  2. resolve outstanding obligations;
  3. settle applicable fees;
  4. request a refund of eligible unused Purchase Balance under Article 9;
  5. complete required verification.

27.3 Closure shall include reconciliation of pending purchases and refund requests and arrangements for eligible unused Purchase Balance under Article 9. Account closure alone does not cancel valid issued vouchers; their lawful redemption conditions continue to apply.

27.4 PAYDA may retain records after account closure where required or permitted by law.

27.5 Closure does not eliminate accrued obligations, claims or refund rights. PAYDA shall not automatically forfeit funded value because an account is closed, subject to lawful deductions or holds.

ARTICLE 28 — TERMINATION BY PAYDA

PAYDA may terminate or restrict a Member's use of PAYDA Services where permitted by law, including where:

  1. the Member materially violates these Terms;
  2. fraudulent activity is established;
  3. unlawful activity is established or reasonably suspected;
  4. KYC requirements cannot be completed;
  5. AML/CFT requirements require termination;
  6. the account presents material security risk;
  7. required by a competent authority;
  8. the Member provides materially false information; or
  9. continued service is otherwise prohibited by applicable law.

Where legally permissible, PAYDA shall notify the Member of the reason and applicable process.

ARTICLE 29 — LIABILITY AND RESPONSIBILITY

29.1 PAYDA shall be responsible for its own acts and omissions to the extent required by Philippine law.

29.2 Banks, payment providers, Voucher Providers and merchants remain responsible for their respective obligations under applicable law. PAYDA remains responsible for matters legally attributable to PAYDA.

29.3 Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

29.4 PAYDA shall not be responsible for losses caused solely by events outside its reasonable control, subject to applicable law.

29.5 PAYDA shall not be responsible for losses caused solely by incorrect information supplied or confirmed by the Member, including incorrect verified refund bank-account details, subject to applicable law and PAYDA's obligation to exercise reasonable care in verification and processing.

29.6 Nothing in this Article shall prevent a Member from exercising statutory rights or remedies.

ARTICLE 30 — INTELLECTUAL PROPERTY

All PAYDA software, trademarks, logos, designs, interfaces, text, graphics, databases, and other intellectual property are owned by PAYDA or its licensors.

Members may not reproduce, modify, distribute, reverse engineer, sell, license, or commercially exploit PAYDA intellectual property except as permitted by law or with prior written authorization.

ARTICLE 31 — CHANGES TO THESE TERMS

31.1 PAYDA may amend these Terms where reasonably necessary because of:

  1. changes in law;
  2. changes in BSP or regulatory requirements;
  3. changes to PAYDA Services;
  4. changes to provider or merchant services;
  5. security requirements;
  6. technology changes; or
  7. legitimate business or operational requirements.

31.2 Material amendments shall be communicated to Members through appropriate channels and within the period required by applicable law or regulation.

31.3 The effective date of material amendments shall be stated in the notice. PAYDA shall comply with any mandatory advance-notice or acceptance period applicable to the actual product, including applicable regulated-product requirements. This also applies to changes to the Fees and Charges Schedule where required. Updating a page, schedule or application setting alone does not satisfy a separate notice or consent requirement. Charges for transactions already confirmed remain governed by Article 14.5.

31.4 Members who do not agree to amended Terms may terminate the affected Service subject to applicable procedures and law.

31.5 No amendment shall waive or unlawfully diminish rights that cannot legally be waived.

ARTICLE 32 — OPERATOR AND REGULATORY DISCLOSURES

32.1 Both PAYDA and YAHOYA PH are operated by Bentix Global Solutions Inc., Unit 2908 One San Miguel Avenue, Ortigas Center, Pasig City, Philippines. YAHOYA is the connected eGift platform in the PAYDA–YAHOYA service process.

32.2 A bank or provider used for collection, settlement or refund processing is not, for that reason alone, the issuer of a Member's Purchase Balance. Where a customer-facing regulated financial product is actually offered, its provider, legal nature, regulatory status and separate terms shall be disclosed before activation.

32.3 These Terms do not assert an exemption from BSP licensing, registration or supervision, classify Purchase Balance definitively as non-e-money or a closed-loop wallet, or promise deposit insurance. Applicable regulatory obligations depend on the actual product and arrangements.

Company Registration: BIR No.: 806-376-626-00000; SEC Reg. No.: CN2026060253997-12.

ARTICLE 33 — FINANCIAL CONSUMER RIGHTS

Nothing in these Terms shall:

  1. waive the Member's statutory rights;
  2. prevent a Member from filing a complaint with a competent authority;
  3. limit the authority of the BSP, AMLC, National Privacy Commission, or another government authority;
  4. exclude liability that cannot legally be excluded; or
  5. prevent a Member from seeking remedies available under Philippine law.

PAYDA and applicable regulated financial institutions shall observe applicable financial consumer protection requirements concerning disclosure and transparency, fair treatment, protection of consumer assets, data privacy, and complaint handling.

33.1 PAYDA and its partners strictly observe and uphold the consumer rights provided under Republic Act No. 11765 (Financial Products and Services Consumer Protection Act).

33.2 Members are entitled to transparent disclosures, fair treatment, robust security frameworks for their transaction data, and an effective, accessible mechanism for resolving disputes and complaints.

ARTICLE 34 — GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

Applicable BSP regulations, AML/CFT requirements, data-protection laws, consumer-protection laws, payment-system regulations, and other mandatory Philippine laws shall apply notwithstanding any provision of these Terms.

ARTICLE 35 — DISPUTE RESOLUTION AND JURISDICTION

35.1 Members should first attempt to resolve disputes through PAYDA's customer assistance and complaint-handling mechanism.

35.2 Where a dispute concerns a provider or merchant, PAYDA shall coordinate as appropriate while remaining responsible for matters legally attributable to PAYDA.

35.3 Nothing in these Terms prevents a Member from exercising any statutory right or remedy available under Philippine law.

35.4 Where judicial proceedings are appropriate, the dispute shall be submitted to the court or tribunal having jurisdiction under Philippine law.

ARTICLE 36 — SEVERABILITY

If any provision of these Terms is declared invalid, illegal, or unenforceable, the remaining provisions shall remain valid and enforceable to the extent permitted by law.

ARTICLE 37 — NO WAIVER

Failure by PAYDA to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

ARTICLE 38 — ENTIRE AGREEMENT

These Terms, together with:

  1. the PAYDA Privacy Policy;
  2. separately accepted provider terms for a product actually supplied to the Member;
  3. applicable fee schedules;
  4. transaction limits;
  5. product-specific terms;
  6. merchant terms, where applicable;
  7. AML/KYC requirements; and
  8. other policies expressly incorporated into these Terms,

constitute the agreement governing the Member's use of PAYDA Services.

Where a specific product is governed by mandatory financial institution terms or regulatory requirements, those terms shall apply to that product to the extent of any inconsistency.

ARTICLE 39 — REVISION AND EFFECTIVITY

These Terms are effective from October 15, 2026, subject to any required notice or acceptance under Article 31 and applicable law. Where a mandatory notice or acceptance requirement applies to an existing Member, the revised Terms apply to that Member only after that requirement is satisfied.
